Transaction Executions and the Security Industry

Security Industry Association (SIA)

Editor’s Note: SIA member bloggers like Tom McMahon will address subjects of importance to other SIA members in new ongoing blog series.

Hi everyone, allow me to introduce myself!

By way of background, I am a managing director at Capstone Partners and among other things I head up the business services practice here. And while our security practice started off focused on services, it has since morphed to include products and hybrid opportunities (service companies that perhaps have developed a proprietary product or vice versa).

I often characterize Capstone as being one of the “bigger of the small guys,” meaning we won’t take companies public or tell you which stocks to put in your 401K, rather we focus exclusively on corporate finance (mainly mergers and acquisitions, recapitalizations), or those transactions that helps owners realize liquidity from their businesses or help with their continue growth.

Capstone is based in Boston, but we also have branches in New York, Chicago, Los Angeles, San Diego, Menlo Park, Tampa, Philadelphia and London. In our 14-year history, we have helped hundreds of owners, management teams and financial sponsors recognize achieve their transaction goals.

Over the coming months, I hope to be able to share with you some of insight I’ve gained over the last 20+ years, along with relevant market observations, insights, etc. That being said, I’m also a fan of giving the people what they want, so if there any particular subjects or topics you’d like me to address, please drop me a note accordingly.

In particular, it’s my hope we can use this space as an opportunity to discuss those issues relevant to how deals actually get done, or the real nitty gritty of executing a transaction. From diligence preparation to high-level discussions of structuring issues, there are numerous topics related to transaction execution that readers will find useful.

Even if you or your organization isn’t contemplating any kind of transaction now, having some familiarity with the subject will only serve you well when the day does come.  As such a blog like this can (hopefully) be a great way to gain some knowledge on a topic that you may not deal with day in and day out.

I hope you all are having a great summer and I’m looking forward to the coming months – thanks!
